When you incorporate a business or form a limited liability company you are creating a legal entity that is immediately subject to hundreds of complex federal and state laws and regulations. We will help you form the new business entity, advise you in connection with applicable state and federal laws, rules and regulations, as well as other legal issues. We believe in long lasting client relationships, and we want to continue advising your business after its incorporation.
Our incorporation package includes the following documents and actions (depending on the business being incorporated):

1.
Drafting and Filing Articles of Incorporation to establish the Company.
2.
Obtaining an Employment Identification Number (TAX ID Number) for the Company
3.
Drafting of bylaws which govern the operation of the Company
4.
Drafting a Founders Stock Purchase Agreement whereby the founders transfer cash and/or assets to the Company
5.
Drafting a Confidential Information and Inventions Assignment Agreement whereby all intellectual property relating to the prospective business of the Company is concentrated in the Company
6.
Drafting of organizational board meeting minutes which authorize the Company’s officers to perform various corporate actions
7.
Drafting an Indemnity Agreement whereby the Company indemnifies members of its management against claims of third parties for actions of management within the scope of their corporate duties
8.
All necessary filings with the Secretary of State, Department of Corporations, and the Internal Revenue Service.
9.
Additional filings with the Internal Revenue Service for “S” Corporations
10.
A bound minute book containing all documents and filings, printed share certificates and a stock ledger
11.
Our detailed memorandum on the legal aspects of “Doing Business as a Corporation” which will provide you with easy to follow, simple guidelines to observe the corporate ritual and preserve limited liability

Off-the shelf incorporation services only provide you with Articles of Incorporation and form by-laws and do not give you any advice to help you set up the best structure for the operation of your business. They also do not provide advice on how to properly capitalize your company. At OCCIDENTAL, we tailor make the documents for you and take the time to explain what your choices are, what we recommend and why.

Our complete incorporation services are performed for a fixed fee of $3,000, plus expenses estimated at approximately $300 for new businesses.
